GENERAL TERMS AND CONDITIONS FOR THE PROVISION OF SERVICES

Effective as of: Oct 1st 2026

FRANCE IMMIGRATION, a French société par actions simplifiée unipersonnelle (SASU), registered with the Créteil Trade and Companies Register under number 488 303 207, SIRET 488 303 207 00044, intra-Community VAT number FR16488303207, with its registered office at 58 rue Roger Salengro – 94120 Fontenay-sous-Bois, France, hereinafter referred to as ‘FRANCE IMMIGRATION’ or the ‘Service Provider’.

ARTICLE 1 – SCOPE AND CONTRACTUAL DOCUMENTS

The present General Terms and Conditions of Sale and for the Provision of Services (the “GTC”) apply to all services provided by FRANCE IMMIGRATION to its business clients, in particular in the fields of immigration, international mobility, posting of workers, social security and, more generally, any related services offered by FRANCE IMMIGRATION.

They apply to any order for services placed, in particular, by signing a quotation, issuing or accepting a purchase order, entering into a framework agreement, or by any other ordering method expressly agreed between the Parties.

Placing an order constitutes the Client’s acceptance of these GTC.

Where the Parties have entered into a framework agreement or agreed specific terms and conditions, such provisions shall prevail over these GTC in the event of any inconsistency.

Any general terms and conditions of purchase of the Client shall apply only if expressly accepted in writing by FRANCE IMMIGRATION.

The services ordered are defined in the quotation, purchase order, framework agreement, applicable fee schedule or any other contractual document accepted by the Parties.

ARTICLE 2 – ORDERS AND CLIENT COOPERATION

The Client undertakes to provide FRANCE IMMIGRATION, within the timeframes required for performance of the engagement, with all information, documents and materials necessary to process the services ordered.

The Client warrants the accuracy, authenticity, currency and completeness of the information and documents provided to FRANCE IMMIGRATION.

The Client also undertakes to inform FRANCE IMMIGRATION as soon as possible of any change or circumstance likely to affect the service or any ongoing case.

Where the Client is subject to an internal purchase order (“PO”) process, it is the Client’s responsibility to inform FRANCE IMMIGRATION in advance and to provide the required PO within a timeframe allowing the service to be performed.

FRANCE IMMIGRATION shall not be liable for any consequences arising from delay, omission, inaccurate or incomplete information attributable to the Client, the beneficiary of the service or a third party.

Where the necessary information or documents are not provided, or appear to be inaccurate, incomplete or noncompliant, FRANCE IMMIGRATION may suspend the service until the situation has been remedied.

ARTICLE 3 – FINANCIAL TERMS AND INVOICING

The services are invoiced at the rates set out in the quotation, fee schedule, framework agreement or specific terms applicable to the Client.

Unless otherwise agreed between the Parties, invoices are payable by bank transfer within 30 days from their date of issue.

For any new Client, FRANCE IMMIGRATION may require payment of all or part of the first order before the service begins.

Unless otherwise stated, FRANCE IMMIGRATION’s professional fees do not include costs and disbursements payable to third parties or public authorities, including taxes and fiscal stamps, consular fees, administrative fees, translations, legalisations, apostilles, courier services, travel expenses, shipping costs or any other expense necessary for performance of the engagement.

Such costs shall be borne by the Client or, where advanced by FRANCE IMMIGRATION, re-invoiced to the Client in accordance with the agreed terms and, where applicable, together with the management fees set out in the applicable fee schedule.

FRANCE IMMIGRATION’s rates may be re-evaluated each year on 1 August in line with the change in the SYNTEC index for the preceding month of May, only where that index has increased. The new rates so determined shall apply to orders placed on or after their effective date. For Clients benefiting from a framework agreement, a negotiated fee schedule or specific pricing terms providing for particular price-revision arrangements, those
arrangements shall prevail over these provisions.

In the event of late payment, late-payment penalties shall automatically become due from the day following the payment due date shown on the invoice, without any prior reminder being required, in accordance with the French Commercial Code.

The applicable rate shall be equal to the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, unless otherwise required by applicable law or a specific rate is provided for in the contractual documents, provided that such rate may in no event be lower than the statutory minimum.

Any late payment shall also automatically give rise to payment of the statutory fixed indemnity for recovery costs, currently set at EUR 40, without prejudice to any additional compensation that may be claimed where the recovery costs actually incurred exceed that amount.

In the event of late payment or a payment incident, FRANCE IMMIGRATION may suspend ongoing services and new case intake as well as, where applicable, any commercial benefits, advances of costs or simplified ordering procedures available to the Client.

ARTICLE 4 – CANCELLATION, SUSPENSION OR INTERRUPTION OF A SERVICE

Any accepted order is binding on the Client. An order shall be deemed accepted upon approval of the quotation by email, signature of the quotation and/or provision of a purchase order or initiation form.

If a service is cancelled after it has been ordered, the Client shall remain liable for services already performed and for any costs or disbursements incurred by FRANCE IMMIGRATION.

Where processing of the case has begun, FRANCE IMMIGRATION may invoice the work performed in proportion to the progress of the engagement, subject to a minimum charge of 25% of the total amount of the service ordered, excluding VAT, unless different specific terms are set out in the quotation or framework agreement.

Where the service cannot continue due to a lack of response from the Client or beneficiary, failure to provide the necessary documents, or failure to comply with instructions essential to continuation of the case, FRANCE IMMIGRATION may suspend or close the case after informing the Client.

Any subsequent reopening of a closed case may be subject to additional fees in accordance with the applicable fee schedule.

ARTICLE 5 – NATURE OF THE SERVICES AND LIABILITY OF FRANCE IMMIGRATION

Subject to any mandatory provisions of applicable law, FRANCE IMMIGRATION’s aggregate liability in connection with a service shall not exceed the amount, excluding VAT, of the professional fees actually invoiced by FRANCE IMMIGRATION for the service directly giving rise to the loss.

This limitation shall not apply in the event of fraud, gross negligence (faute lourde) by FRANCE IMMIGRATION, or death or personal injury.

Any claim relating to the performance of a service must, failing which it shall be time-barred, be submitted in writing to FRANCE IMMIGRATION within twelve (12) months from completion of the relevant service, without prejudice to any mandatory statutory limitation periods.

  • allow, under the conditions contractually agreed and within reasonable limits, the verifications necessary to assess compliance with the obligations laid down in Article 28 of the GDPR;
  • upon completion of the services, delete or return the personal data processed on behalf of the Client in accordance with the applicable instructions, subject to any statutory retention obligations.

Where warranted by the nature or scale of the processing, the Parties may enter into a specific data processing addendum or agreement (“Data Processing Agreement” or “DPA”) specifying, in particular, the subject matter and duration of the processing, its nature and purposes, the categories of data and data subjects concerned, the applicable security measures and the respective obligations of the Parties.

8.2 – Sub-processors and technical service providers

If any provision of these GTC is declared invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

A Party’s failure at any time to rely on any provision of these GTC shall not be construed as a waiver of its right to rely on that provision at a later date.

In the event of breach of this undertaking, the Client shall owe FRANCE IMMIGRATION a fixed indemnity equal to twelve (12) months of the gross annual remuneration of the employee or consultant concerned, without prejudice to FRANCE IMMIGRATION’s right to claim compensation for any additional loss suffered.

ARTICLE 15 – SUBCONTRACTING

FRANCE IMMIGRATION may use independent consultants, partners or subcontractors of its choice to perform all or part of the services, without requiring the Client’s prior consent, provided that FRANCE IMMIGRATION ensures a level of competence and confidentiality equivalent to that which it applies itself.

FRANCE IMMIGRATION shall remain solely responsible to the Client for the proper performance of services so subcontracted, subject to the same terms and limitations as those set out in these GTC.
